it has acquired all of the capital stock of CD Verte, S.p.A. for $2.2 million, consisting of cash and a promissory note, the payment of which is contingent upon the future financial performance of the acquired entity. CD Verte, headquartered in Milan, is a leading Italian publisher and distributor of entertainment software. The Company expects the acquisition to be accretive on a go forward basis, and in conjunction with the acquisition, the Company hopes to take advantage of certain Italian investment tax credits.
